Beta Program Terms and Conditions

Participation in the Beta Program
The Plaud Beta Service Testing Program (the “Beta Program”) is a voluntary program through which Plaud Inc. (“Plaud”, “we,” or “us”) makes pre-release versions of its AI-powered voice recording services, companion mobile applications, firmware, and related documentation (collectively, the “Pre-Release Service”) available to selected participants (“Beta Testers” or “You”) for the purpose of evaluation, testing, and providing feedback.
Participation in the Beta Program is voluntary and does not create a legal partnership, agency, or employment relationship between You and Plaud. Plaud reserves the right to modify the terms of this Agreement at any time by posting updated terms on the Beta Program portal. Your continued participation following such changes constitutes acceptance of the revised terms. Plaud may also suspend or terminate the Beta Program, or revoke any individual participant’s access, at any time without notice.
By participating, You certify that You are at least 18 years of age (or the age of majority in Your jurisdiction) and that You are legally permitted to enter into this Agreement.
Access to the Pre-Release Service
Plaud may provide Beta Testers with access to the Pre-Release Service through Plaud’s mobile application (iOS and Android), web portal, firmware updates delivered to Plaud hardware devices, beta feature flags, configuration profiles, or other delivery mechanisms. All use of the Pre-Release Service is governed exclusively by this Agreement and any supplemental license terms accompanying a specific release.
You are responsible for ensuring that Your device and account credentials used to access the Pre-Release Service are kept confidential and are not shared with any third party. You are solely responsible for all activity that occurs under Your account.
License Grant and Restrictions
Subject to Your compliance with this Agreement, Plaud grants You a personal, limited, non-exclusive, non-transferable, revocable license to install and use the Pre-Release Service solely for testing and evaluation purposes during the Beta Program. You may not:

use the Pre-Release Service for any commercial purpose or in a production environment;

copy, distribute, sublicense, sell, rent, lease, or otherwise transfer the Pre-Release Service to any third party;

reverse engineer, decompile, disassemble, or attempt to derive the source code of any component of the Pre-Release Service, except to the extent expressly permitted by applicable law;

remove, obscure, or alter any proprietary notices, labels, or marks on the Pre-Release Service;

use the Pre-Release Service in any way that violates applicable laws or regulations, including those governing audio recording and privacy in Your jurisdiction; or
-
use the Pre-Release Service in life-critical, safety-critical, or emergency-response systems.
Plaud retains all right, title, and interest in and to the Pre-Release Service, including all intellectual property rights therein. No rights are granted to You except as expressly set forth in this Agreement.
Feedback
As part of Your participation in the Beta Program, You may be invited to submit bug reports, feature requests, usability observations, audio quality assessments, transcription accuracy reports, and other evaluative information (collectively, “Feedback”) through the Plaud app, email, in-app surveys, or other designated channels. Plaud may also contact You to request further discussion regarding Your Feedback or experience with the Beta Program. Any such follow-up discussions, whether conducted by video, phone, or in person, shall constitute Feedback for purposes of these Terms and are subject to the same confidentiality obligations set forth in the Confidential Information section below.
You hereby grant Plaud a perpetual, irrevocable, worldwide, royalty-free, fully paid-up license to use, reproduce, modify, adapt, publish, and incorporate Feedback into Plaud’s products and services without any obligation of compensation, attribution, or confidentiality to You. You represent that Your Feedback does not infringe any third-party intellectual property rights.
Feedback is provided voluntarily. Submitting Feedback containing audio recordings or system logs is entirely at Your discretion; however, if You do submit such files, please see Consent to Data Collection and Use section below regarding data handling.
Confidential Information
You acknowledge that the Pre-Release Service, and all information disclosed to You in connection with the Beta Program — including its features, functionality, performance characteristics, design, roadmap, and any screen captures — constitute confidential and proprietary information of Plaud (“Confidential Information”). Information that is (a) publicly available through no breach by You, (b) independently developed by You without reference to Confidential Information, or (c) rightfully received from a third party without restriction, is excluded from this definition.
You agree to: (i) hold all Confidential Information in strict confidence; (ii) not disclose Confidential Information to any third party without Plaud’s prior written consent; (iii) not publish reviews, screenshots, videos, blog posts, or social media content about the Pre-Release Service without Plaud’s prior written approval; and (iv) use Confidential Information solely for the purpose of participating in the Beta Program. You acknowledge that unauthorized disclosure could cause irreparable harm to Plaud for which monetary damages would be inadequate, and that Plaud is entitled to seek equitable relief.
Pre-Release Service Precautions
The Pre-Release Service is unfinished software and firmware that may contain errors, bugs, inaccuracies, or instabilities. You acknowledge and agree that:

The Pre-Release Service may result in unexpected behavior, data loss, or corruption of recordings, transcriptions, or other files stored on Your Plaud device or connected accounts.

Installing Pre-Release firmware on Your Plaud hardware device may affect the device’s behavior in ways that cannot be fully reversed.

The Pre-Release Service should not be used as your sole or primary recording solution for important meetings, legal proceedings, medical consultations, or any situation where data loss would be unacceptable.

Plaud strongly recommends that You back up all recordings and data before installing any Pre-Release firmware or enabling any Beta features.
PLAUD SHALL NOT BE RESPONSIBLE FOR ANY COSTS, DATA LOSS, OR OTHER HARM ARISING FROM YOUR USE OF THE PRE-RELEASE SERVICE.
Consent to Data Collection and Use
Your Obligations
You represent and warrant that You will comply with all applicable privacy and data protection laws in Your jurisdiction (including the GDPR, CCPA, and any applicable audio recording consent laws) with respect to Your use of the Pre-Release Service, and that You have obtained all necessary consents from individuals who may be recorded using the Pre-Release Service.
Automated Diagnostic and Usage Data
To improve the Pre-Release Service, Plaud and its agents may automatically collect diagnostic, technical, and usage data from Your Plaud hardware device(s) and companion application while the Pre-Release Service is active. This information may include device identifiers, firmware version, app version, crash logs, performance metrics, feature usage patterns, battery statistics, connectivity information, and audio quality metadata (but not the content of Your recordings). This data is collected in a form that does not personally identify You. Certain diagnostic data is necessary for the Pre-Release Service to function correctly.
Voluntary Feedback Submissions
If You choose to submit Feedback that includes recordings, transcripts, summaries, or diagnostic log files, You acknowledge that such files may contain personally identifiable information (including voice data, names, and conversational content). Submitting such files is entirely voluntary. By doing so, You confirm that You have obtained all necessary rights and consents to share this information with Plaud, and You authorize Plaud to use it solely for diagnostic and product improvement purposes within the Beta Program.
Privacy Policy
All personal information collected in connection with the Beta Program will be handled in accordance with Plaud’s Privacy Policy, available at https://web.plaud.ai/privacy. In addition, please review the Plaud Beta Privacy Notice, available at https://global.plaud.ai/pages/betatestingprivacynotice which describes data collection specific to the Beta Program.
No Support or Maintenance; No Future Commitment
Plaud is not obligated to provide You with any technical support, bug fixes, maintenance, or updates for the Pre-Release Service. Any support provided during the Beta Program is offered at Plaud’s sole discretion and does not create an ongoing obligation. Plaud makes no commitment that any feature of the Pre-Release Service will be included in, or continue to operate in the same manner within, any commercially released version of the product.
Indemnification
To the extent permitted by applicable law, You agree to indemnify, defend, and hold harmless PLAUD, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) Your use of the Pre-Release Service; (b) Your breach of this Agreement; (c) Your violation of any applicable law or third-party right, including any privacy or recording consent law; or (d) any content or data You submit through the Pre-Release Service.
No Warranty
THE PRE-RELEASE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PLAUD EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. PLAUD DOES NOT WARRANT THAT THE PRE-RELEASE SERVICE WILL MEET YOUR REQUIREMENTS, THAT TRANSCRIPTIONS WILL BE ACCURATE OR COMPLETE, OR THAT THE PRE-RELEASE SERVICE WILL OPERATE UNINTERRUPTED OR ERROR-FREE.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL PLAUD BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF RECORDINGS, LOSS OF PROFITS, LOSS OF GOODWILL, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE PRE-RELEASE SERVICE, EVEN IF PLAUD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. PLAUD’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED FIFTY U.S. DOLLARS (USD $50.00).
Terms and Termination
This Agreement is effective upon Your acceptance and continues until terminated. You may terminate Your participation at any time by notifying Plaud at research@plaud.ai and ceasing all use of the Pre-Release Service. Plaud may terminate this Agreement or Your participation in the Beta Program at any time, with or without cause, upon written notice (including email).
Upon termination: (a) Your license to use the Pre-Release Service terminates immediately; (b) You must cease all use of the Pre-Release Service and, if applicable, remove any Pre-Release firmware or software from Your devices; and (c) You must destroy or return any Confidential Information in Your possession. The obligations set forth in "License Grant and Restrictions", "Confidential Information", "Consent to Data Collection and Use", "Indemnification", "No Warranty", "Limitation of Liability", "Governing Law and Dispute Resolution", and "General Provisions" shall survive termination.
Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. Any dispute arising out of or relating to this Agreement that cannot be resolved through good-faith negotiation shall be submitted to binding arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules. The arbitration shall take place in Delaware, USA; proceedings shall be conducted in English. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent or restrain a breach of this Agreement. Nothing in this Section limits any consumer protection rights that cannot be waived under applicable law.
General Provisions
Entire Agreement. This Agreement, together with the Plaud Beta Privacy Notice and Plaud’s general Privacy Policy, constitutes the entire agreement between You and Plaud with respect to the Beta Program and supersedes all prior oral or written agreements on the same subject matter.
Amendments. Plaud may amend this Agreement at any time by posting revised terms on the Beta Program portal. Your continued participation constitutes acceptance of the amended terms.
No Waiver. Plaud’s failure to enforce any provision of this Agreement shall not constitute a waiver of its right to do so at a later time.
Severability. If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
No Assignment. You may not assign or transfer any of Your rights or obligations under this Agreement without Plaud’s prior written consent. Plaud may assign this Agreement freely.
